How to Review a Contract Before Speaking With a Lawyer

Prepare a source-anchored first-pass yourself, then route legal judgment, drafting, and high-stakes decisions to qualified counsel.

What you can do yourself

You can verify that the document set is complete, extract exact duties and dates, model economics, identify undefined terms and conflicts, gather missing facts, and prepare focused questions. That work can make a legal review more efficient.

It does not establish that counsel is unnecessary. Legal fees vary by jurisdiction, lawyer, matter, and scope, so this page does not advertise an unsupported national hourly range.

A disciplined first-pass

  1. Confirm parties, version, date, exhibits, links, and signature blocks.
  2. List every promise by party, deadline, dependency, and acceptance standard.
  3. Calculate payments, escalations, pass-throughs, credits, refunds, and exit cost.
  4. Calendar renewal, notice, cure, payment, option, and claim deadlines.
  5. Map termination, liability, indemnity, insurance, warranties, and remedies together.
  6. Mark ownership, license, confidentiality, data, security, and deletion terms.
  7. Read governing law, venue, arbitration, fees, and interim-relief language.
  8. Record each concern with an exact quote and the fact or advice still needed.

Escalation signals

Counsel is especially useful when the contract affects an acquisition, financing, franchise, commercial real estate, employment, intellectual property, regulated activity, personal guarantee, large or uncertain liability, cross-border obligations, or an active dispute. The decision turns on the actual exposure, not a fixed clause count.

  • Which provisions are legally consequential under the governing law?
  • What facts or missing documents change the analysis?
  • Which proposed changes should appear in a redline?
  • What residual risk remains if the counterparty refuses?
  • Does counsel's scope include negotiation, revisions, and final execution review?

Inkvex can prepare the quoted issue map and 1-to-10 triage report as a premium first-pass that pairs with your lawyer. It cannot provide the legal judgment, representation, or final advice.

Inkvex provides legal information, not legal advice. Do not rely on self-review alone when the consequences are material or uncertain.

Produce a useful first-pass packet

Your output should be more than highlighted text. Create a one-page deal summary, an obligation table, a deadline list, a money model, and an issue log. Each issue should contain the exact quote, section, plain-language question, missing fact, business owner, and decision date. Mark whether it is a document fact, commercial preference, outside factual question, or legal question.

For example, if a contract permits termination for material breach after notice and cure, do not conclude that you can safely terminate. Record the triggering text, notice method, cure period, any dispute over performance, fees due on exit, and surviving duties. That packet lets counsel answer a focused question if the risk warrants it.

Know when self-review stops

Stop before making an enforceability judgment, waiving a right, sending a breach notice, accepting a personal guarantee, transferring core IP, signing a material acquisition or lease, or relying on unfamiliar governing law. Escalate incomplete documents, contradictory terms, high downside, and any situation already in dispute. A disciplined self-review reduces confusion and legal spend; it does not turn a nonlawyer into transaction counsel.

Use a clause-to-action table

Convert each material clause into an owner and action. Payment goes to finance; security notices to the incident team; insurance certificates to risk; renewal to procurement; data export to operations. Include the source section and deadline. If nobody can carry out the obligation, that is a business problem even before counsel evaluates the language.

Review the final signed version against the table and update it after amendments. Keep outside promises in a separate evidence file until they are incorporated. This process helps a business operate the agreement while preserving a clear boundary: legal interpretation, rights in dispute, and high-consequence allocations still require qualified advice.
