What the whole-deal memo covers

Acquisition due diligence fails in the gaps between documents. Every finding points to its page, so your lawyer can check it.

Issues that only show up across documents

A lease that cannot pass to the buyer, a supplier contract that ends on a sale. The memo leads with what changes the deal.

Change of control clauses

Clauses that end, reprice or need notice when ownership changes, each with its quote and page.

Consent to assignment

Which contracts need a landlord, franchisor, lender or customer to consent before they pass to the buyer.

Amendments read against their base contract

How each amendment, side letter or rider changes its base agreement, so you read the terms that apply.

Missing documents to request

Exhibits, schedules and agreements the contracts mention that are not in the file.

One action list, and what we did not read

Next steps for you and your lawyer, plus every page we could not read, so nothing is assumed covered.

Who it is for

Search-fund and small-business buyers

Due diligence for buying a business: customer, supplier, lease and employment contracts, organized before your lawyer's first hour.

Franchise buyers and brokers in a resale

The disclosure document, franchise agreement, lease and transfer papers for a franchise resale, read together.

Deal lawyers and small M&A firms

The material contracts in an acquisition, read and organized so your time goes to judgment, not the first read.

How a deal runs

  1. Email us the deal

Tell jordan@inkvex.app what you are buying and roughly how many documents. We reply with the package, the terms and how to pay.

  2. Pay and upload

Pay with your Inkvex account email (sign-up is free). Standard and Large workspaces open within 1 business day. Upload to your private workspace and keep the page open until every file shows Saved, a few hours for a large deal. No documents by email.

  3. Get the inventory

Within 1 business day of upload: what we received, what we could not read, and what the contracts mention that is missing.

  4. Confirm the list

You confirm the list and the questions that matter most for this deal.

  5. Receive the memos

A memo for each document and one memo for the whole deal, within 1 business day after you confirm the list (Small and Standard) or 2 business days (Large).

The terms in brief

We send the full one-page terms before you pay. Where they differ from our Terms of Service or the standard Deal Pack refund rule, they govern the deal.

FAQ

How is this different from the Deal Pack?

The Small package is a Deal Pack (15 credits and 12-month access, as on the pricing page) plus one whole-deal memo across up to 10 documents and 1,000 pages, an inventory of what is missing, and a dated delivery. You pay at the Deal Pack checkout after we confirm your deal, so order by email first. Already hold a Deal Pack for this deal? Email us before buying again.

Is this legal due diligence done by a law firm?

No. Inkvex is not a law firm, and this is legal information, not legal advice. The memo is a sourced first pass for your own lawyer to review.
